Terms and Conditions – Services and Products

These terms and conditions (“T&C”) apply to the provision of products and services by Megabyte (commercial name), represented by the company with the legal name “Compuworks Informática, lda”.

Clause 1. Services and Products

1.1 Purchase Order. The services and products shall be provided by “MEGABYTE” to the customer, subject to an agreement for payment of a price and based on a purchase order that has as reference these T&C. A purchase order is a document in which the services and/or products are described in detail (including their prices) and formally forwarded to MEGABYTE . The purchase order and the T&C are jointly referred to as the “Agreement”.

Clause 2. Payments

2.1 Invoicing. Services and/or products will be invoiced based on the service, time spent and materials used and/or products to be supplied. Invoices for fixed price services will be issued on the date agreed in the respective purchase order, and must be paid in accordance with the terms agreed or to be agreed.

2.2 Interest. Any amounts due to “MEGABYTE” under the Agreement that are not paid within the agreed payment period shall bear interest at the rate of two percent (2%) per month, whether full or incomplete.

2.3 Taxes. The price of the Services does not include any taxes, duties or fees. The Customer shall not make any deductions for taxes, duties or fees of any nature on any payment that it may make to “MEGABYTE” under this Agreement. If the Customer is legally obliged to withhold any taxes, duties or fees, it shall pay to “MEGABYTE” the gross amount that, after deduction or withholding of taxes, duties and fees, corresponds to the price of the Services initially provided without such deductions. Taxes on the net income of “MEGABYTE” are the responsibility of “MEGABYTE”.

Clause 3. Confidentiality

3.1 Information. Confidential. Each party warrants that all information received from the other party which by its nature is or should be considered confidential shall remain confidential, unless a legal provision requires the disclosure of such information. The party receiving confidential information shall use it only for the purposes for which it was provided. All information shall at any time be considered confidential if so classified by either party.

Clause 4. Service Warranty

4.1 Professionalism. “MEGABYTE” represents and warrants that the services provided by it under this document will be performed professionally and efficiently.

4.2 Errors. “MEGABYTE” guarantees for a period of thirty (30) days, from the date of delivery, that any errors in the design or failures in the configuration of systems of the services provided will be corrected, however, it is not responsible for operating errors and reconfiguration by the customer.

Clause 5. Product warranty

5.1 Warranty. All products supplied are covered by a minimum 1-year brand warranty against manufacturing defects, except for selected products with a three-year or more warranty;

5.1.1 Death on arrival. Products that present operating problems on first use (e.g. does not turn on or does not wake up) must be reported and/or brought immediately to the technical counter in their respective packaging for pre-diagnosis, validation of the equipment condition and product warranty, for immediate exchange for another equal/equivalent or superior product in working conditions;

   5.1.2 Malfunction. Products that present defects and faults within the period of 1/3 years depending on the product warranty, must be brought to the technical counter of one of our stores, if possible with a copy of the purchase invoice, for pre-diagnosis, validation of the warranty and subsequent forwarding to the brand’s warranty center for its solution;

   5.1.3 Negligence or misuse . Products that present defects and faults within a period of 1/3 years resulting from improper use or negligence in their use, (e.g. use of non-genuine consumables in printers, poorly conducted equipment upgrades, etc.), are subject to ineligibility for the product warranty;

   5.2 Product warranty process. This involves resolving the problem within a certain period of time, according to the time estimated by the brand’s warranty center. Given that the estimated time for resolution is approximately two or more weeks, Megabyte has the option of providing equivalent equipment on loan until the equipment is returned in working condition.

   5.3 Products. Products with factory warranty are covered by the warranty, as are all equipment supplied by “Megabyte” (Hardware), with the exception of: consumables (inks, toners, stationery) and computer programs.

                5.3.1 Batteries/UPS. Batteries or UPS, except in cases of “Death on arrival”, i.e., those that present operating problems upon first use (must be notified within 30 days of purchase, and brought to the technical counter immediately afterwards), have a maximum warranty of 3 months.

                5.3.2 Ink Cartridges and Toners. Inks that present a manufacturing defect or incompatibilities upon first use must be sent to our technical counter for diagnosis and validation of the consumable.

5.4 Outstanding. Failure to settle any invoice outside the deadline in the current account gives the right to revoke the guarantee of the products, until the outstanding amounts in CC are resolved.
